Effective date: October 12, 2026

1. Who provides the services

These Terms govern the software development services provided by Individual Entrepreneur Vasilii Nikitin (the “Performer”), registered in the Republic of Armenia, registration No. 286.1616354, TIN 20430813, address: 15 Pap Tagavor St., apt. 71, Kentron, Yerevan 0001, Armenia, e-mail: [email protected], phone: +374 77 654 599. The person or company ordering the services is the “Client”.

If the Performer and the Client sign a separate services contract, that contract prevails over these Terms where they differ.

2. Services

The Performer provides software development services, including:

3. Ordering

  1. The Client sends a request describing the task by e-mail, phone, Telegram or the contact form on this website.
  2. The Performer replies with the proposed scope, timeline and fee.
  3. A request is accepted when both parties confirm the scope and fee in writing. E-mail is sufficient.

4. Fees and payment

  1. Fees are fixed per request and stated in US dollars. They include all of the Performer's costs and taxes in the Republic of Armenia.
  2. Services are provided on prepayment. The Performer issues an invoice for the agreed fee, and the Client pays it by bank transfer within 5 business days of receipt, unless agreed otherwise in writing.
  3. Work starts when the prepayment reaches the Performer's account. Each party pays its own bank's fees.

5. Delivery and acceptance

  1. The reporting period is a calendar month. Within 3 business days after the end of the period, or after completing a request, the Performer delivers the results and a statement of services provided.
  2. The Client reviews the results within 5 business days and either accepts them or sends specific objections in writing.
  3. If the objections are justified, the Performer corrects the deficiencies within a reasonable time agreed with the Client, at no extra cost.
  4. If the Client sends no objections within 5 business days, the results are considered accepted.

6. Rights to results

  1. Exclusive rights to the software, documentation and other results created specifically for the Client pass to the Client after full payment for the respective services.
  2. Open-source components and the Performer's pre-existing tools included in the results remain subject to their own licences. The Client receives the right to use them as part of the results.
  3. The Performer may keep general knowledge and experience gained while providing the services.

7. Confidentiality

Each party keeps confidential the other party's non-public information received in connection with the services, including source code, data, business plans and prices, and uses it only to perform the work. This obligation continues for 3 years after the services end. The Performer does not name the Client or show work done for the Client publicly without the Client's written consent.

8. Liability

  1. The Performer provides the services with reasonable skill and care, in line with generally accepted industry practice.
  2. Neither party is liable for indirect or consequential losses, including loss of profit, revenue or data, except where such liability cannot be excluded by law.
  3. The Performer's total liability for any request is limited to the fee paid by the Client for that request.
  4. Nothing in these Terms limits liability for fraud or for damage caused intentionally.

9. Cancellation

Either party may cancel a request or end the cooperation with 10 calendar days' written notice. The Client pays for services provided up to the cancellation date, and any unused prepayment is returned under the Refund Policy.

10. Governing law and disputes

These Terms and any services under them are governed by the laws of the Republic of Armenia. The parties will first try to resolve any dispute by negotiation. If the dispute is not resolved within 30 days, it is referred to the competent court in Yerevan, Republic of Armenia.

11. Changes

The Performer may update these Terms. The current version is always published on this page with its effective date. Requests accepted before an update are governed by the version in force when they were accepted.
